Job Description:
Purpose
• Provide legal support to and be the primary source of legal advice for Syngenta’s Seeds businesses in India
• To provide objective, constructive, professional, client-focused and solution-oriented legal advice and guidance to the Seeds India Management Team
• To support the Seeds India Management Team, APAC Legal, IP & Licensing (LIPL) Team and the Seeds Regional Management Team in contributing to the delivery of the strategic objectives of Syngenta Seed and the Syngenta Group
• To actively promote the creation of a Legal and Compliance Culture within the Seeds India Team and notably raise the profile of the Legal function with key “customer groups” such as Marketing, Sales, Planning and Product Development
• To represent the LIPL function in the Seeds India Country Leadership Team
• To ensure, so far as practicable that all activities of the Seeds India Team are undertaken in accordance with relevant laws and the legal standards prescribed by the Syngenta Code of Conduct
Accountabilities
• To assist Seeds India Team in achieving their strategies and business objectives in a resource-efficient manner by providing a high-quality, proactive, and business orientated source of legal services and advice on legal and organizational issues affecting Seeds India’s activities and the Syngenta group as a whole
• To assess proposed commercial relationships in order to ensure that their implications are fully understood, to structure and to draft/negotiate and finalise definitive agreements to ensure these relationships are properly defined and recorded and to advise on the operation, amendments to and termination of such relationships
• To ensure, so far as practicable, in respect of assigned work projects and areas of responsibility, that the activities of Seeds India are conducted legally and in accordance with Syngenta Group policies and promptly to report any activities which are not believed to be so conducted to the Head of Legal, Seeds APAC and/or the Global Head of Legal and Tax, as appropriate
• As Seeds India is a division of Syngenta India Limited, the job-holder will have to work closely with Syngenta India Senior Counsel and his Crop Protection India Legal Team on all corporate related issues and other “country based” projects/activities like Compliance Programs
• As a member of a wider Legal & Taxes function for Syngenta India, the job-holder shall be expected to maintain constant contact, liaise with and participate in regular meetings and discussions with Syngenta India’s Senior Counsel and other members of Syngenta India Legal & Taxes Team
• To liaise with the colleagues of the Seeds India Management Team and other functional departments within Syngenta, and, where necessary, to act as the point of co-ordination to secure proper implementation of Syngenta Seeds business proposals and projects
• To support the Head of Legal, Seeds APAC in implementing the LIPL strategy and providing legal advice and support for strategic business initiatives in India, including but not limited to M&A, licensing and Biotech activities
• To communicate promptly and regularly with Head of Legal, Seeds APAC in order to provide visibility of all legal issues which are material in the context of Syngenta Seeds business and activities in India
• To manage, where required, third party claims by or against Syngenta in relation to its Seeds India activities with a view to recovering losses incurred or to minimising damages claimed or as the case may be, including the selection and appointment of appropriate outside counsel and to provide regular updates and recommendations on the litigation strategy
• To support the protection and enforcement of the proprietary rights of Syngenta Seeds businesses in India through litigation and other actions to prevent infringement of such rights, working at all times in close collaboration with members of the Patent, Trademark and Regulatory teams
• When necessary, to provide legal support to Syngenta Seeds businesses in Bangladesh and Pakistan.
Desired Candidate Profile:
Knowledge, Skills and Competencies
Essentially, an ideal candidate for the Seeds India Legal Counsel role should have the following knowledge, skills and competencies:
• Ability to act independently in such a manner that the Country Head, Seeds India and the Head of Legal, Seeds APAC are not involved in any day-to-day supervision of the job-holder, but in giving broader strategy/policy advice. Capable of thought leadership and objectivity
• Capacity to not merely “give legal advice” but to act both as an active team member and an independent agent in resolving difficulties or pushing projects forward. The job-holder is required to seek ways to overcome obstacles which are not only legal but also commercial and organizational
• Professionally qualified lawyer with sound knowledge of Indian Law and with between 6 to 10 year’s practical working experience in India with a large law firm or as an in-house Legal Counsel with either Indian or foreign multi national companies and with exposure in a commercial environment to various areas of law, including, commercial, IP, competition law, environmental, and management of litigation.
• Experience in working/dealing with local and national government authorities and also universities/institutes an added advantage
• Ability to understand and assess legal risks in India and use appropriate judgment in providing legal guidance to the business on operating in a high risk environment
• Good level of negotiation and drafting skills, experience in providing legal support in difficult and complex negotiations and ideally some prior exposure to M&A and licensing activities
• Demonstrated ability and passion for partnership with the business
• Effective communicator in both the English and Hindi with high levels of interpersonal competencies and influencing skills. Ability to communicate in other Indian languages is an advantage but not essential.
• Capability to lead projects involving other professionals and/or senior business colleagues
• Ability to take a strategic view of work, to identify and initiate change when necessary, and to prioritize and manage a large number of wide-ranging tasks
• Good team player capable of working well with the business colleagues, other legal counsels especially those in Crop Protection India, Head of Legal, Seeds APAC and professionals or senior business colleagues based outside of India
The job-holder has routine contacts at Seeds APAC Leadership Team level and would be recognized by people at that level as having the necessary experience to be involved in “high profile” projects. The job-holder will need to have the personal standing to “hold fast” to a professional view and where necessary to advise or direct a course of action to be taken
