Job Description
JOB RESPONSIBILITY OF LEGAL DEPARTMENT
A. DOCUMENTATION:
On identification of the property, inspect the requisite documents viz. chain of conveyance/sale/partition/gift deed or will by which the property was acquired, 7/12 extract (Property Card extract), Index II issued by the sub-registrar, Title Certificate/ search report by the Vendors Advocate for the last 30 years, Non Agricultural Permission (in the event land is agricultural), to ascertain that the title of the Property is clear, marketable and free from all encumbrances.
Evaluating the āDevolution of Title āi.e. Due Diligence of the property on the basis of documents brought either directly or through brokers known as āestate agentsā for sell of land, building viz. residential, commercial or industrial premises etc.
Requisite enquires to be made with the relevant authorities including:
(i) With the Ward Officer of the Ward in which the property is situated to find out whether the property or portion thereof has been notified under the Land Acquisition Act for public purpose;
or
(ii) Whether any notice, notification, action or claim is pending against the property;
or
(iii) Whether any portion of the property is included in the set-back or is reserved for any public purpose under the Development plan e.g. for garden or school or road or for any other public purpose;
or
(iv)Whether there are any claims of the Bombay Municipal Corporation on the said property for outstanding taxes viz. Property Tax etc.
Pursuant to assertion that the property is clear, marketable and free from all encumbrances proceed initially with Letter of Intent thereafter to follow with drafting of Memorandum of Understanding, Conveyances, Agreement for Sale, Development Agreement, Deed of Surrender, Declaration under Section 2 of The Maharashtra Apartment Ownership Act, 1970 Facility Management Agreement, Power of Attorney, Deed of Indemnity, Lease Deed, Deed of Confirmation, Deed of Rectification, Leave & License Agreement (commercial unit, kiosks & residential) etc. based on the nature of the Project viz. residential/commercial/retail.
Briefing and instructing Advocates & Solicitors as regards drafting Documents, Title Certificate etc.
Approve the drafts forwarded by the Advocates & Solicitors
B. LITIGATION:
In the event, any individual/corporate initiates proceeding in any of the Courts viz. The Honāble Supreme Court, The Honāble High Court, Honāble City Civil Court and Honāble Small Causes Court, Honāble Magistrate Court etc. appoint Advocates to defend the case, give appropriate instructions from time to time or as required. Inform the management of the same to seek appropriate instructions / suggestions etc. enabling the Advocate to putforth effective arguments before the Honāble Court, on behalf of the company.
In the event, any customer commits defaults in making payment as per the payment schedule specified in the Agreement, issue initial legal notice calling upon them to make requisite payment/s within the stipulated timeframe as required under law.
Or
Pursuant thereto, instruct Advocates to issue appropriate legal Notice, as per legal requirement.
In the event, the company intends to initiate legal proceedings against any corporate / individual etc. in any of the Courts viz. The Honāble Supreme Court, The Honāble High Court, Honāble City Civil Court and Honāble Small Causes Court, Honāble Magistrate Court etc., to give appropriate instruction to the Attorneyās viz. explaining the facts of the case, providing appropriate documents in relation to the case and keep themselves posted about the time to time development happening in the matter and inform the management of the same to seek appropriate instructions / suggestions etc.
Co-ordinating with the Attorneyās and approving the draft pleadings forwarded by the Attorneyās.
C. MISCELLANEOUS:
Inter office correspondence viz. replying/ answering any legal questions raised by various departments of the company.
General day to day correspondence, Legal correspondence including Notices, Replies, Correspondence to Government Authorities including The Municipal Corporation of Greater Mumbai (MCGM), The Mumbai Metropolitan Regional Development Authority (MMRDA) etc.
Desired Candidate Profile
Candidate should be LLB or LLM.
Candidate should be familiar with Property laws, litigation and Non-litigation.
Candidates with Real Estate background preferred
