Job Responsibilities :
The candidate would be responsible for :
* Setting up Secretarial Department and streamlining procedures and complying with Company law requirements.
* Incorporation of companies and other related procedures, including drafting of Memorandum and Articles of Association.
* Implementation of requirements & e-filing of Returns/Forms as per MCA-21 under the Companies Act, 1956.
* Preparing Circular Resolutions, Notice, Agenda, and minutes of Board Meetings.
* Preparing Notice and minutes of Annual General Meetings & Extra-ordinary General Meetings.
* Maintenance of statutory registers and records of the Company.
* Drafting resolutions and Agreement for appointment of Managing Director.
* Drafting Resolutions & Notice for amendment to Memorandum & Articles of Association.
* Completing formalities for increase in authorized Share Capital.
* Head of Legal and Secretarial
* Responsible for Compliance
* Ground work for IPO
* Vetting of International Agreements
Salary : As per industry standards.
