Job Profile :

The role holder will be responsible for the overall direction of the Secretarial, Legal (non commercial) & Government Affairs functions at Aricent India and secretarial/compliance matters outside India. As Company Secretary the role holder will be responsible for handling all statutory secretariat, company law functions and minority shareholders including interface with regulatory authorities. Also, the role holder will need to brief and interact with external legal counsel in matters relating to legal matters pertaining to the company.

Specific Responsibilities :

Legal Services
• Vetting and review all non commercial / contractual agreements, including agreements or contracts with Associates / Employees, landlords, vendors, consultancy agreements, licensing agreements etc. Assist functions in negotiating and finalizing agreements with vendors and third parties.
• Co-coordinating with external retained counsel ensuring correct briefing and tracking & reviewing all on-going legal matters globally and managing external counsel budget and expenditures.
• Corporate legal compliances, FDI (inbound/outbound)/FEMA compliances, litigations management.
• Support to other functions on legal issues, vendor contracts, legal audits, legal opinion, and statutory compliance

Company Secretary
• As Company Secretary, responsible for managing the Secretariat function and interfacing with regulatory authorities in this context.
• Responsible for providing all statutory reports required by the RoC and other regulatory authorities.
• Overall responsibility for ensuring compliance to all statutory regulations governing the company’s operations in India.
• Support to business units/foreign offices, standardization and implementation of corporate legal practices, compliance to local laws & statutes
• Liaison for corporate matters with CLB, RD, RBI, SIA/FIPB, RoC etc.
• New country penetration, coordination of business set up, statutory compliances with local laws.
• Corporate secretarial, conducting AGM/EGM of minority shareholders, board meetings, audit committee, share transfer committee, remuneration committee, maintaining statutory records, ensuring compliance of company law & other corporate laws, buy back of equity shares, redemption of preference shares, capital reduction process, PF/Gratuity/ESOP trust compliance.
• Foreign compliances, secretarial & legal compliances for overseas business set up in Finland, Belgium, Italy, USA, UK, France, China, Japan, Dubai, Mauritius, Korea, Canada, Germany, Ukraine, Lux and Australia.
