[B][U]Terms & Conditions [/U][/B]: 
[B][U]1. About the Contest and the Organizer [/U][/B]:
“CineshortsTM” is a short film contest (hereinafter referred to as the “Contest”) being conducted by Viacom 18 Media Private Limited (hereinafter referred to as the “Organizer”), through its business division, Viacom 18 Motion Pictures, which operates and manages the movie business of the Organizer. In addition, the Organizer is also engaged in the business of broadcasting various popular television channels, including Colors, Vh1, MTV, Comedy Central, Nick, Sonic and Teen Nick. The Contest is primarily intended to be a platform to identify and promote potential directors, camera persons, writers, artists, performers, and other creatively talented persons who wish to be a part of the media and entertainment/ film business.

[B][U]2. Who can participate in the Contest [/U][/B]:
(a) This Contest is open for participation by any person above the age of 18 years in his/ her individual capacity; or a group of two or more persons working collectively as a team; without any restriction on gender, nationality, religion, or any other geographical or socio-economic or ethnical barriers or conditions (hereinafter individually referred to as a “Participant” and collectively, the “Participants”).
(b) Each Participant is expected to have a valid You Tube account, for the purposes of participating in this Contest. It is clarified that there are no restrictions on the number of team members, in case of a Participant that is a team of 2 (two) or more persons. Provided however, in case of a Participant that is a team, each such team shall be represented by one single individual who shall be considered to the author and the owner of the Film, and who shall fill up the Entry Form and submit the Film entry, in order to participate in the Contest. While it is preferable for a Participant that is a team to open a separate You Tube account, any entries submitted by an individual (forming part of a team) from his/ her personal You Tube account, shall be considered as a submission/ entry of the Film by him, for and behalf of the entire team.
(c) No Participant shall, either individually or as a member of a team, participate or submit, directly or indirectly, or be associated with, more than 1 (one) entry in the Contest. Further, any Participant found taking part in the Contest or submitting Contest entries from multiple You-Tube log-in ids, shall be automatically disqualified from participating in the Contest.
(d) Employees of the Organizer, and/or its associate and affiliate companies/ concerns, the members of the Contest organizing committee/ Jury, the agencies (together with their employees) engaged to conduct and support the Organizer in the Contest, or any other persons associated directly or indirectly with the Contest, shall not be eligible to participate in the Contest.

[B][U]3. How to submit an entry for the Contest [/U][/B]:
(a) Each Participant shall shoot, at its own cost and expense, a short duration cinematograph film with a run-time not exceeding 5 (Five) minutes, strictly in accordance with the Technical Specifications (as defined hereinafter) specified below (hereinafter referred to as the “Film”), and upload the said Film on You Tube, through the valid You Tube account of such Participant, and immediately make the status of the uploaded Film, as Unlisted.
(b) Participants shall email the duly filled up Entry Form containing the personal details, submission details, including the upload hyperlink of their Film, and such other information/ details stipulated in the Entry Form.
(c) Any Film submission in respect of which the Entry Form is not received in full by the Organizer, shall automatically be disqualified, and shall not be considered for the purposes of this Contest.
(d) The Organizer shall not be responsible for any error or fault (whether technical or otherwise) in the upload hyperlink provided by the Participant,

[B][U]4. Technical Specifications of the Film [/U][/B]:
(a) Each Film submitted by a Participant shall have to comply with all the following specifications (hereinafter, collectively, referred to as the “Technical Specifications”) :
(i) The Film shall have a maximum running time of 5 (Five) minutes or less, including the beginning and end credits of the Film. It is clarified that there is no minimum running time requirement
(ii) The Aspect Ration of the Film shall be 1  : 2.35
(iii) The Resolution of the Film shall be 1920 * 1080
(iv) The Film shall be in PAL format version
(v) The Film must be shot on 24 frames per second (FPS)
(vi) The Film may be made Hindi Language only.
(vii) The Film shall be an original creation of the Participant, and shall not be in current distribution/ exhibition/ exploitation through the internet, television, theatre, physical devices or any other mode, medium or platform, any time before or during the Contest Period.
(viii) The file name of the Film uploaded by the Participants on You Tube shall be named as "Cineshorts – [Title of the Film]".
(ix) In addition to the above, each Film (including the theme, audio visual images, key elements and other contents thereof), shall mandatorily comply with : (i) all the Self-Regulatory Content Guidelines for Non-News & Current Affairs Television channels issued by the Indian Broadcasting Foundation (“IBF”), as available, and updated on IBF’s website, [URL="http://www.ibfindia.com;"]www.ibfindia.com;[/URL] (ii) the provisions of the Cable Television Networks (Regulation) Act, 1995 (as amended from time to time), as available and updated on the website of the Telecom Regulatory Authority of India, [URL="http://www.trai.gov.in;"]www.trai.gov.in;[/URL] (iii) any other applicable laws, rules, regulations and guidelines governing cinematograph films, and the public exhibition thereof on various platforms; (iv) any guidelines, if any, issued by the Organizer from time to time, during the Contest Period.
(b) Any Film submission that does not comply with one or more of the aforesaid specifications, may, at the sole discretion of the Organizer, be disqualified, and shall not be considered for the purposes of this Contest. Provided however, the Organizer reserves the right to require the Participants to rectify its submission and/ or comply with the aforesaid specifications, in the manner determined by the Organizer, from time to time.

[B][U]5. Contest Period [/U][/B]:
The Contest shall commence from July 24, 2014 and shall conclude on August 15, 2014, or on such other date as decided by the Organizer in its sole discretion, from time to time (“Contest Period”). The Organizer reserves its right, at its sole discretion, to extend the Contest Period, and/ or receive any entries after the end of the Contest Period and/ or automatically disqualify any entries received after the expiry of the Contest Period.

[B][U]6. Pre-screening of submissions [/U][/B]:
(a) Upon receipt of the filled up Entry Form, the Organizer shall completely scrutinize the entire Film to ensure compliance of the Film (including its contents) with the Technical Specifications specified above.
(b) If the Film complies with all the Technical Specifications, the Organizer shall upload the Film on the Organizer’s You Tube channel for free exhibition to the general public, during the Contest Period.
(c) If the Film does not comply with the Technical Specifications, the Organizer shall, at its sole discretion : (i) automatically disqualify such entry and shall not consider such entry any further for the purposes of the Contest; or (ii) require the Participant to make necessary edits/ modifications to ensure compliance with one or more of the Technical Specifications; or (iii) make necessary edits/ modifications to the Film on its own, to ensure compliance with the Technical Specifications; and thereafter upload the Film on the Organizer’s You Tube channel for free exhibition to the general public, during the Contest Period.
(d) By participating in the Contest, all Participants unconditionally acknowledge and confirm that : (i) the Organizer shall have complete rights (as described under Clause 7 (c)(iii) above, to edit, alter or modify the Film or any parts thereof, to ensure that the Film complies with the Technical Specifications, and is otherwise suitable for exhibition to the general public; and (ii) they shall not change the status of their original video upload link on You Tube to public view, or upload, share, or exhibit the Film on any mode, medium or platform at any time during the Contest Period, and until the Contest winners have been declared by the Organizer, and the intellectual property and other rights in the Film are assigned by the Organizer, back in favour of the Participants, in accordance with Clause 8 below.
(e) Notwithstanding anything contained herein, the Organizer reserves the right, at its sole discretion, not to exhibit one or more of the Film(s), for any reason as it deems valid.

[B][U]7. Evaluation of entries, Declaration of Winners and Prizes [/U][/B]:
(a) At the end of the Contest Period, all the Film entries finally uploaded on the Organizer’s You Tube channel, shall be evaluated by a jury panel to be determined by the Organizer at its sole discretion (“Jury”), whose decision shall be final and binding on all Participants.
(b) The members and composition of the Jury, and/ or the entire evaluation process may be revised at any time, as determined by the Organizer at its sole discretion, from time to time. Neither the Participant nor any third party shall have any right to question the process of evaluation followed/ adopted by the Organizer, or the Prizes (as defined hereinafter) to be awarded by the Organizer. No correspondence, clarification, explanation in this regard shall be entertained by the Organizer, and the Participant shall not have any claim, or raise any claim, objection or question with regard to any of the foregoing.
(c) The Organizer shall, on the basis of the decision of the Jury, by or before August 29, 2014, declare the best Film entries to be the winners of the Contest (each a “Winner” and collectively, the “Winners”). Provided however, the Organizer shall be held liable for any failure or delay in the declaration of the Winners beyond such date. The prizes for the Winners shall be as follows (each a “Prize” and collectively, the “Prizes”) :

[B][U](i) Top 5 (Five) Films [/U][/B]:
** First Prize shall be a cash award of Rs. 1,00,000/- (Rupees One Lac only);
** Second Prize shall be a cash award of Rs. 50,000/- (Rupees Fifty Thousand only);
** Third Prize shall be a cash award of Rs. 40,000/- (Rupees Forty Thousand only);
** Fourth Prize shall be a cash award of Rs. 30,000/- (Rupees Thirty Thousand only); and
** Fifth Prize shall be a cash award of Rs. 20,000/- (Rupees Twenty Thousand only).

The aforesaid top five Films may also get a chance to be exhibited on any of the Organizer’s TV channels, as determined by the Organizer, from time to time.

(ii) The top 50 (Fifty) Films (including the aforesaid top five Films) may get a chance to be exhibited on any of the Organizer’s websites or any other digital platforms, as determined by the Organizer, from time to time.

(iii) In addition to the above Prizes, there shall be cash prizes of Rs. 10,000/- (Rupees Ten Thousand only) each, for various individual categories such as Best Director, Best Actor, Best Screenplay, Best Editor, Best Camera, and Best Sound. For the avoidance of doubt, it is clarified that these prizes may be awarded to Participants, other than the Winners described in (i) and (ii) above.
(d) The Organizer may, at any stage of the Contest, require any of the Participants to sign appropriate releases, affidavits, declarations, assignment agreements, license agreements and/ or such other documents or do such other things, as may be required by the Organizer for ensuring complete assignment of the intellectual property rights and transfer of ownership in the Films, in favour of the Organizer.
(e) The Prizes, including any non-monetary parts thereof, are non-transferable, and may not be exchanged/ redeemed for cash. Further, the Prizes shall not be combined with any other prizes/ offers. No request shall be entertained by the Organizer in this regard. In the event a Prize is not honored as required or otherwise not claimed within two (2) days after notification thereof, or if the Winner is not available on the date, time and venue as indicated by the Organizer, the Prize shall be forfeited and awarded to an alternate winner, as determined by the Organizer. In the unlikely event of unavailability of any of the Prize(s) mentioned above, Organizer will make reasonable endeavors (without any obligation) to distribute prizes of similar value/ nature, to the respective Winners. It is expressly clarified that the Organizer takes no responsibility, liability or any other expenses for the Winners.
(f) Income tax, gift tax or any other statutory taxes, duties or levies as may be applicable from time to time, if any, arising out of the Prize(s), shall be payable by the Winner(s) of the respective Prize(s). In case the Winner fails to comply with applicable law(s) including without limitation, any tax formalities, the Organizer shall be entitled to select another winner, at its sole discretion.
(g) Any Participant taking part in the Contest and declared the winner of the Contest, but is unable to fulfill, or commits a breach of any of the terms and conditions specified herein, shall be disqualified from receiving any Contest Prize under this Contest.

[B][U]8. Intellectual Property Rights [/U][/B]:
By participating in the Contest and submitting a Film entry, the Participants acknowledge, agree and confirm as follows :
(a) The Film is an original cinematograph film produced by the Participant. The Participant is the author and exclusive owner of the copyright and all other intellectual property rights in the said Film, including all rights, title and interest in and to the said Film. The Film (including the underlying works or other contents thereof), or any part thereof does not infringe or violate the copyright or other intellectual property rights or moral rights of any third party(ies).
(b) The Participant has the exclusive, unconditional right and authority to participate in the Contest and submit the Film.
(c) The Participant licenses the same to the Organizer for free exhibition to the general public on the Organizer’s You Tube channel, on and with effect from the date of submission of the entry. The Participant acknowledges and confirms that it shall, at its own cost and expense, obtain all requisite assignments, licenses, permissions, authorizations, no-objection certificates, written arrangements, etc., from the artists, authors of the artistic, literary, musical and dramatic works, photographs and other materials included in the Film.
(d) The Participant(s) grants to the Organizer, its irrevocable consent in perpetuity to use his/ her name, photographs, video taken during the Prize distribution, if any, in connection with the Contest, in any and all applications including but not limited to advertising, commercials, promotion, stories, text, articles and commercial exploitation, in any and all media forms, including but not limited to radio, broadcast and television, internet, newspapers, magazines and such other modes, media and platforms (whether existing at present, or which may be developed at any time in the future) at any time without the Participants’ further knowledge or consent. Further, acceptance of a Prize by a Winner constitutes permission for Organizer, and its affiliates to shoot videos, click photographs of such Winner and use the Winners’ name, photographs, likeness, voice and comments for advertising and promotional purposes in any media worldwide for purposes of advertising and trade without any additional compensation whatsoever.
(e) The Participant shall be responsible to pay any and all necessary fees, costs and charges, including without limitation, license fee, public performance fees/royalties to the copyright management societies, authors, owners or assignees of any underlying works/performances for the exhibition or exploitation of the Film including without limitation any of the underlying literary or musical works used therein and fee for inclusion of sound recordings, music, lyrics, performances and other underlying works, as per applicable law, or otherwise (collectively, "Royalties"). The Participant agrees that the Organizer shall have no responsibility for payment of such Royalties or fee or for procurement of such rights. Notwithstanding anything contrary herein, the Participant shall indemnify and pay the Organizer for any damage, loss, or reasonable expense or the like that the Organizer incurs as a result of the Participant's delinquency in paying the Royalties or other costs or fee, securing any license or otherwise as set forth herein.
(f) The Participant hereby agrees to indemnify and keep indemnified the Company from any and all claims in respect of any aspect of the Film submitted by the Participant, or any of the intellectual property rights thereof, or privacy or publicity, property rights or of any other claims, as well as claims from any person(s) engaged and/or associated in any manner with the Film, or any claims arising from the breach/ violation of any of the foregoing terms and conditions.

[B][U]9. Other terms and conditions [/U][/B]:
(a) Information as available on the Contest page (where these Terms and Conditions have been uploaded) shall be the only authentic and valid source of information about the Contest. Organizer shall not be responsible for any incorrect / misleading information relating to the Contest, presented / displayed on any other source other than the Contest page as specified above. Organizer shall not be liable for any loss suffered by any Participant based on the representation, terms, conditions, information presented / displayed on any other source other than the Contest page as specified above.
(b) Organizer shall not be responsible or liable in case any person is unable to participate in the Contest on account of his/ her inability to access any of the Contest links or You Tube, or due to connectivity/ network issues, or any other reason, whatsoever.
(c) The Organizer reserves the right to change/ modify any of these Terms and Conditions, including without limitation, the criteria for participation in the Contest, and/ or the Prizes, and/ or the duration of the Contest Period, at any time at its own discretion. Participants are requested to periodically visit the Contest page and review these Terms and Conditions, at all times during the Contest Period, to ascertain whether there are any changes to these Terms and Conditions.
(d) The decisions of the Organizer in connection with the Contest (including without limitation, the interpretation and enforcement of these Terms and Conditions, the evaluation and selection of Winners, disqualification and/ or suspension of Participants/ entries, etc) shall be final & binding on all Participants, and shall be non-contestable.
(e) The Winner shall be contacted and informed by the Organizer directly. Organizer shall not entertain any questions, correspondence, enquiries on the manner of conduct of the Contest, or the results of the Contest, and the distribution of Prizes, from any party whatsoever.
(f) Apart from the entitlement to the Prize, the Winner or his/her legal heirs will have no other rights or claims against the Organizer.
(g) The Participant acknowledges that he/she will not hold the Organizer and/ or any of its affiliates or agencies engaged by it with regard to this Contest, liable for any loss or opportunity, whether monetary or otherwise, due to his/ her participation in the Contest.
(h) The Organizer is not responsible for any errors or omissions in the Terms and Conditions described herein. All information provided herein is provided “as-is”, and the Organizer makes no representations or warranties, and disclaims all express, implied and statutory warranties of any kind to the Participants and/or any third party including, without limitation, warranties as to accuracy, timeliness, completeness, merchantability, or fitness for any particular purpose.
(i) Under no circumstance, shall the Organizer and/or its directors, employees, officers, affiliates or subsidiaries, be liable to the Participant and/or any third party for any lost profits or lost opportunity, indirect, special, consequential, incidental, or punitive damages whatsoever, even if the Organizer has been advised of the possibility of such damages. The Participant specifically agrees not to file in person/through any family member and/or any third party any applications, criminal and/or civil proceedings in any courts or forum in India or elsewhere, against the Organizer and/or their directors, employees, officers, affiliates or subsidiaries to claim any damages or relief in connection with the Contest.
(j) The Participant shall indemnify the Organizer against any claims from any party and consequent losses, damages, compensation, whatsoever, that may arise from, or be related to the participation of the Participant in the Contest. Notwithstanding anything contained herein, the aggregate liability of the Organizer in case of any damage, loss, cost, claim, liability or expense (including legal costs and expenses) caused to or incurred by any act, omission or representation in respect of the Prize of this Contest to any Winner, shall not exceed the value of Prize.
(k) Organizer shall not be liable for any failure to comply with its obligations or due to the inability of the Participant to participate in the Contest, or submit its Film entry in a timely manner, due to events of force majeure. Further, the Organizer shall not be responsible for any loss or damage if it has to discontinue or cancel this Contest in compliance with any law, ruling, order, regulation, requirement or instruction of any Central/State Government or for any other unavoidable reason beyond its control. Participants shall be informed of such discontinuance/cancellation as soon as reasonably possible, on the Contest page, or through email or such other manner as determined by the Organizer, from time to time.
(l) Participation in this Contest implies acceptance of all the terms and conditions of the Contest as described herein. Participants agree to be bound by any decisions made by the Organizer, including any interpretations of these terms and conditions by the Organizer.
(m) The following shall be the email address for any queries relating to the Contest, or these Terms and Conditions, or obtaining clarifications in relation to the foregoing : [EMAIL="contact@ignitee.com"]contact@ignitee.com[/EMAIL] Queries, or requests for clarifications received in any other manner shall not be entertained. The Organizer reserves the right, not to answer any particular query or provide clarification, or answer a query or provide a clarification in any way it deems appropriate.
(n) The Organizer shall not responsible for any Participant not being able to understand the Contest dynamics, or any of the Terms and Conditions hereunder, or for misinterpretation of the same. No correspondence, clarification, explanation in this regard will be entertained by the Organizer.
(o) It is the Participants’ responsibility to ensure that their personal details (name, address, date of birth, email id, ID Proof) are always updated and accurate in order to be able to receive the gratification/ notification in time.
(p) In case of any dispute or difference in respect of this Contest, the decision of the Organizer shall be final and binding on all concerned.
(q) The Contest (including without limitation, these terms and conditions), shall be governed by the laws of India, and any disputes arising out of the Contest, or these terms and conditions, or otherwise, shall be subject to the jurisdiction of competent court(s) of Mumbai alone.
